OSL tokenizes USDGO Plus SP: What fund managers should check on custody and distribution
OSL says it tokenized 2WA’s USDGO Plus SP and will provide custody and distribution. The Hong Kong-only professional-investor offer highlights key fund-launch dependencies.
OSL tokenizes USDGO Plus SP: the operating model matters
On October 8, OSL Group announced that it had tokenized PrimePlus SPC – USDGO Plus SP, a fund launched by digital-asset technology company 2WA. The announcement is a useful case study for fund managers because it describes more than issuance: it also identifies custody, distribution, investor eligibility and subscription/redemption channels.
OSL says USDGO Plus SP launched on the 2WA ecosystem in August 2026 as a segregated portfolio of a Cayman Islands segregated portfolio company. It is offered only to eligible professional investors in Hong Kong. OSL says it will provide tokenization, custody and distribution, with eligible investors subscribing to and redeeming from the fund through the OSL HK app.
The roles around the settlement asset are separate. The OSL announcement says Anchorage Digital Bank issues USDGO, while OSL acts as its brand operator and distributor; OSL also says it holds the fund’s underlying USDGO in custody. That role map is specific to this arrangement and should not be generalized to other tokenized funds.
Four launch questions this example brings into focus
1. Which legal vehicle and investor classes does the product serve? Specify the fund vehicle, domicile, governing documents and the markets in which interests may be offered. The token’s transfer rules should reflect the actual investor-eligibility process.
2. Who owns each operating responsibility? Map the fund manager, administrator, tokenization provider, transfer or registry function, custodian, distributor and settlement-asset issuer. Identify who approves subscriptions, handles exceptions, reconciles records and responds to incidents.
3. How do dealing and servicing work end to end? Document the subscription and redemption journey, valuation and NAV timing, settlement cut-offs, investor notices and reporting. OSL’s release describes daily subscriptions, redemptions and NAV updates, and says an optional T+0 express redemption feature was planned for later in October; that announcement alone does not confirm the feature is live.
4. What evidence supports the operating model? Prepare the approved offering documents, investor disclosures, service-provider responsibilities, custody arrangements, transfer restrictions, reconciliations and exception procedures. A token interface cannot replace those fund controls.
Read the regulatory scope precisely
OSL’s release says USDGO Plus SP has not been authorized by Hong Kong’s Securities and Futures Commission under section 104 of the Securities and Futures Ordinance and that its offering documents have not been reviewed by a regulatory authority. It also says interests may be offered only to professional investors in Hong Kong under the fund’s offering documents. The announcement is not a basis to assume the fund is available to retail investors, approved in other jurisdictions or suitable for any particular investor.
The fund’s stated market-neutral strategy seeks to capture funding-rate spreads in crypto derivatives. OSL’s disclosure warns that market-neutral strategies do not eliminate risk and that funding rates can turn negative. This article does not evaluate the strategy or its performance.
What issuers can take from the case
The practical signal is about connected operations: the tokenized interest, eligible-investor route, custody and settlement asset are described as parts of a specific service arrangement. For another fund, the right design depends on its vehicle, rights, jurisdictions, providers and dealing model. Define those dependencies before selecting a chain or promising investor access.
