Legal terms governing your use of the Fundshing tokenization platform, website, dashboard, issuer workflows, and related services.
Welcome to Fundshing. These Terms of Service (“Terms”) govern your access to and use of our Platform. By using our services, you agree to comply with and be bound by these Terms.
Important Notice
- • Fundshing is not a broker, dealer, custodian, or investment advisor.
- • We do not hold client or backer funds or tokens.
- • All issuer metrics are informational only and not investment advice.
- • Investments carry risk, including total loss of principal.
1. Introduction
Welcome to Fundshing
- Fundshing provides a digital platform for showcasing projects and connecting backers with client ecosystems.
- By accessing or using our website, dashboard, or services (the “Platform”), you agree to these Terms and Conditions (“Terms”).
2. Nature of Services
Scope
- Fundshing provides advisory, technology, and marketing-exposure services to project issuers.
- Backers can view project information and express interest on the Platform. When they want to proceed, they are redirected to the issuer’s ecosystem or licensed partners.
Fundshing does NOT
- Provide investment advice, portfolio management, or suitability assessments.
- Act as a broker, dealer, custodian, or intermediary in financial or crypto-asset transactions.
- Receive, hold, transfer, or safeguard client or backer funds or tokens.
Issuer/Backer Dealings
- All investment, subscription, or purchase decisions are made directly between the backer and the issuer or their licensed service providers.
3. Project Information & Disclaimers
Issuer-Provided Data
- All figures, projections, ROI percentages, or financial data displayed on the Platform are self-reported by issuers.
- Fundshing does not verify, audit, or guarantee the accuracy, completeness, or reliability of such information.
- Metrics displayed (e.g., “commitments tracked”, “issuer-reported ROI”, “estimated project value”) are for informational and engagement purposes only and must not be relied upon as investment advice.
4. User Responsibilities
Backers
- Conduct your own due diligence and obtain independent professional advice before making financial commitments.
Issuers
- Ensure campaigns comply with applicable laws, including MiCA, AML/CTF, consumer protection, and financial-promotion rules.
Acceptable Use
- Do not introduce unlawful content, attempt unauthorized access, or misrepresent identity on the Platform.
5. No Regulated Activities
MiCA Status
- Fundshing is not a “crypto-asset service provider (CASP)” within the meaning of Regulation (EU) 2023/1114 (MiCA) and does not provide regulated financial services.
What We Don’t Do
- We do not offer or solicit securities or crypto-assets.
- We do not provide investment advice or recommendations.
- We do not perform financial intermediation or order execution.
6. Fees
Who Pays What
- Issuers may be charged fixed advisory, technology, or exposure fees under separate agreements.
- Backers are not charged unknown fee by Fundshing for accessing or viewing projects.
7. Liability
Limitations
- Fundshing is not liable for losses from unknown investment, token purchase, or financial commitment made by a user.
- We are not responsible for the accuracy, legality, or completeness of issuer-provided data.
- We disclaim liability for indirect, incidental, or consequential damages.
- To the fullest extent permitted by law, our total liability is limited to the fees (if unknown) paid by the user to Fundshing for Platform access in the preceding 12 months.
8. Intellectual Property
Rights & License
- All content, branding, and technology on the Platform are owned or licensed by Fundshing.
- Users are granted a limited, non-exclusive, non-transferable license to access the Platform for personal or business evaluation purposes.
9. Data & Privacy
Processing
- Fundshing processes personal data in accordance with its Privacy Policy.
- Users consent to such processing when using the Platform.
10. Governing Law & Dispute Resolution
Jurisdiction
- These Terms are governed by the laws of Bucharest, Romania.
- Any disputes shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania, unless arbitration is agreed.
11. Changes to Terms
Updates
- We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of updated Terms.
Investment Risks (Educational)
General Risks
- All investments carry risk of loss, including total loss of principal.
- Past performance does not guarantee future results.
- Liquidity and market conditions can materially impact outcomes.
Technology Risks
- Smart-contract bugs, network congestion, and cybersecurity issues may impact operations.
- Regulatory changes can affect token classification and treatment.
Limitations of Liability
Important limitations on our liability and service guarantees.
Platform Availability
We strive for 99.9% uptime but cannot guarantee uninterrupted service availability
Investment Advice
We do not provide personalized investment advice or recommendations
Third-Party Services
We are not responsible for the performance or availability of third-party services
Market Conditions
We cannot control market conditions or guarantee investment performance
Maximum Liability Cap
In no event shall Fundshing's total liability to you exceed the amount of fees you have paid to us in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory of liability.
Dispute Resolution
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services may be resolved through binding arbitration administered by a recognized arbitration body under its applicable commercial rules.
Class Action Waiver
Proceedings must be brought on an individual basis and not as a class, representative, or collective action.
Intellectual Property Rights
All content, features, and functionality of the Fundshing Platform are the exclusive property of Fundshing and protected by applicable IP laws. Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for evaluation purposes.
