UK fund tokenization: a launch brief after FCA PS26/7
FCA PS26/7 gives authorised fund managers guidance on DLT. Use this launch brief to compare registers, investor journeys and tokenization providers.
The policy development fund managers should know
The FCA’s PS26/7, published on 30 April 2026, finalized guidance on using distributed ledger technology in UK authorised funds. It also introduced an optional direct-to-fund dealing model for conventional and tokenized authorised funds. The FCA said the rules and guidance took effect immediately.
The policy is relevant to UCITS management companies, UK AIFMs managing authorised funds and authorised-fund depositaries. Its scope should not be treated as blanket permission for every private fund, overseas issuer or tokenized offering.
Fundshing analysis: separate three design decisions
A fund manager exploring tokenization should distinguish the legal fund structure, the ownership-record architecture and the investor dealing journey. Changing the register technology does not answer every question about subscriptions, distribution or investor access.
Start by writing down which part of your current model will change and which providers remain responsible. Have qualified UK counsel and the relevant operational partners assess the proposal against the actual fund and activities.
Your launch brief: seven fields to complete
1. Fund and jurisdiction: Identify the legal vehicle, manager, target investors and countries of distribution.
2. Investor rights: Specify the unit or interest represented and the documents governing its economic rights.
3. Register: Identify the authoritative ownership record, its operator and the procedure for corrections.
4. Dealing journey: Describe who accepts orders, confirms payment, allocates units and communicates a rejection.
5. Permissions: Document eligibility checks, transfer restrictions and the parties that approve changes.
6. Lifecycle: Define reporting, distributions, redemptions and treatment of exceptional events.
7. Partner responsibilities: Map the manager, administrator, depositary, custody, payment, legal and technology roles as applicable.
Mark unanswered questions as dependencies. The brief should expose uncertainty before a vendor demonstration, rather than present assumptions as settled decisions.
Questions to ask a fund tokenization platform
Request a demonstration using your proposed operating model. Ask how the workflow records an approval, handles an amended instruction and reconciles an investor balance with the applicable register. Confirm which services the vendor supplies and which require separate contracts.
For the pilot, include a rejected subscription, an attempted restricted transfer and a servicing event. Agree what evidence each test must produce and who decides whether it passes. A successful technical demonstration does not establish compliance or investor suitability.
Compare implementation and recurring costs across the complete operating model. Include external professional and regulated services where required, not just the smart-contract deployment. Establish a baseline for your existing process before claiming savings.
Move from policy interest to a scoped project
Fundshing’s fund and SPV tokenization page is a starting point for technology-workflow discussions. Review platform pricing and prepare the seven-field brief before selecting a package. Fundshing provides workflow technology; the required legal opinions and regulated services depend on the project and appropriate independent providers.
